Real Estate Professional Terms and Conditions

These terms apply to real estate professional access to VeriDealPro, including the commission disclosure verification workflow and related account features.

These Terms and Conditions, together with any policies referenced in this document, including our Privacy Policy, subscription terms, and any applicable platform rules, govern your access to and use of VeriDealPro, including our website, web application, mobile application, software platform, services, features, content, tools, databases, and related services.

These Terms are a legally binding agreement between you and VeriDealPro LLC (“VeriDealPro,” “Company,” “we,” “us,” or “our”). By creating an account, accessing the platform, using the app, subscribing to the service, uploading or posting content, viewing content, or otherwise using VeriDealPro, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use VeriDealPro.

1. Purpose of the VeriDealPro Platform

VeriDealPro is a software-as-a-service platform designed for real estate professionals and related business users. The platform may include tools, workflows, directories, forms, communications, data-entry features, document-generation features, compensation disclosure tools, recommendation tools, vendor-directory features, administrative tools, and other real estate-related business resources.

The platform is intended to help users organize, create, manage, share, and communicate information related to real estate professional workflows, including but not limited to compensation disclosure workflows and recommendations for real estate-related service providers.

VeriDealPro is not a real estate brokerage, law firm, title company, escrow company, lender, insurance agency, contractor, home inspector, property manager, or professional licensing authority. VeriDealPro does not represent buyers, sellers, landlords, tenants, brokers, agents, service providers, vendors, contractors, or any other party in a real estate transaction.

VeriDealPro does not participate in real estate transactions, does not negotiate real estate contracts, does not collect or distribute real estate commissions, does not determine compensation owed to any party, and does not guarantee compliance with any real estate law, rule, regulation, MLS rule, brokerage policy, board policy, association requirement, or professional licensing requirement.

2. Eligibility

You must be at least 18 years old and legally able to enter into a binding agreement to use VeriDealPro.

If you use VeriDealPro on behalf of a company, brokerage, team, organization, or other legal entity, you represent that you have authority to accept these Terms on behalf of that entity. In that case, “you” and “your” refer to both you individually and the entity you represent.

You are responsible for ensuring that your use of VeriDealPro complies with all laws, rules, regulations, licensing obligations, brokerage policies, professional standards, MLS rules, association rules, advertising rules, disclosure requirements, and contractual obligations that apply to you.

3. Account Registration and Security

To use certain features of VeriDealPro, you may be required to create an account and provide accurate, current, and complete information.

You agree to keep your account information accurate and up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You may not share your account credentials with another person unless the platform expressly allows seat-based or team-based access. You agree to notify us immediately if you believe your account has been accessed without authorization.

We are not responsible for losses caused by your failure to protect your login credentials, your device, your email account, your third-party authentication credentials, or your account access.

4. Subscription Terms

VeriDealPro is offered as a subscription-based SaaS platform. Access to paid features may require an active subscription.

By subscribing, you authorize us or our third-party payment processor to charge your selected payment method for all applicable subscription fees, taxes, and other charges. Subscription fees may be billed monthly, annually, or according to the billing cycle selected at purchase.

Unless otherwise stated, subscriptions automatically renew at the end of each billing cycle until canceled.

You are responsible for maintaining valid payment information. If your payment method fails, we may suspend or terminate your access to paid features.

We may change subscription pricing, plan features, billing terms, or available subscription options from time to time. Any pricing changes will apply according to the notice and renewal terms provided at the time of change or as otherwise required by applicable law.

5. No Refund Policy

All subscription fees, platform fees, and other charges are non-refundable unless required by applicable law or unless we expressly state otherwise in writing.

By purchasing a subscription, you understand and agree that there are no refunds, credits, prorated refunds, partial refunds, or refunds for unused time, unused features, account inactivity, failure to use the platform, cancellation before the end of a billing period, dissatisfaction with the service, removal or suspension of content, or removal or suspension of access due to violation of these Terms.

If you purchased your subscription through a third-party app store, marketplace, or payment provider, any refund request may also be subject to that provider’s terms, rules, and refund policies.

6. Cancellation

You may cancel your subscription according to the cancellation method provided within the platform, website, app store, payment processor, or account settings.

If you cancel your subscription, your access to paid features will continue until the end of your current paid billing cycle, unless your account is terminated or suspended for violation of these Terms.

Cancellation stops future renewal charges but does not entitle you to a refund for the current billing cycle.

We may cancel, suspend, or terminate your subscription or access if you violate these Terms, fail to pay required fees, misuse the platform, create legal risk, post prohibited content, interfere with the platform, or engage in conduct that we determine may harm VeriDealPro, its users, third parties, or the integrity of the platform.

7. Platform Changes and Availability

We may modify, update, improve, remove, replace, suspend, or discontinue any part of VeriDealPro at any time.

We do not guarantee that the platform will always be available, uninterrupted, secure, error-free, or compatible with every device, browser, operating system, third-party service, MLS system, brokerage system, payment platform, or app store.

We may perform maintenance, updates, security changes, or service modifications without prior notice.

8. User Content

“User Content” means any information, text, data, images, documents, files, posts, listings, recommendations, comments, business information, contact information, service provider information, disclosure information, uploaded materials, profile information, communications, or other content submitted, posted, uploaded, entered, transmitted, displayed, stored, or made available by users through VeriDealPro.

You are solely responsible for all User Content you submit, upload, post, share, store, publish, transmit, or make available through VeriDealPro.

You represent and warrant that:

  1. You own or have all necessary rights, permissions, licenses, and authority to submit and use your User Content;
  2. Your User Content is accurate to the best of your knowledge;
  3. Your User Content does not violate any law, rule, regulation, contract, professional obligation, MLS rule, association rule, brokerage policy, privacy right, intellectual property right, publicity right, or other third-party right;
  4. Your User Content does not contain prohibited content described in these Terms;
  5. Your User Content is not false, misleading, deceptive, defamatory, harmful, unlawful, or fraudulent.

VeriDealPro does not claim ownership of your User Content. As between you and VeriDealPro, you retain ownership of the content you submit, subject to the license granted below.

9. License to User Content

By submitting, posting, uploading, entering, storing, or otherwise making User Content available through VeriDealPro, you grant VeriDealPro a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, copy, process, display, transmit, reproduce, format, modify for technical purposes, distribute, and otherwise use your User Content as necessary to operate, provide, maintain, improve, secure, support, and promote the platform.

This license allows us to display your content within the platform, make it available to users you choose to share it with, process it through platform features, back it up, secure it, and use it to provide the services.

You are responsible for ensuring that any individuals, companies, service providers, clients, customers, agents, brokers, vendors, or third parties referenced in your User Content have provided any required consent or authorization.

10. VeriDealPro Is Not Responsible for User Content

VeriDealPro is a platform that may allow users to create, submit, upload, publish, share, or view User Content. User Content is provided by users and third parties, not by VeriDealPro.

We do not endorse, verify, guarantee, control, or assume responsibility for User Content. We are not responsible for the accuracy, legality, reliability, completeness, quality, safety, truthfulness, usefulness, or appropriateness of User Content.

Any reliance on User Content is at your own risk.

You understand and agree that VeriDealPro is not liable for User Content posted, uploaded, transmitted, shared, entered, or made available by users or third parties, including any errors, omissions, misstatements, inaccuracies, offensive material, unlawful content, professional advice, recommendations, service provider listings, compensation-related entries, disclosure-related entries, or other materials.

We reserve the right, but do not have the obligation, to monitor, review, remove, restrict, disable, edit, reject, or delete User Content at any time if we believe it violates these Terms, creates legal risk, harms the platform, harms users, violates third-party rights, or is otherwise inappropriate.

11. Permitted Uses

You may use VeriDealPro only for lawful, professional, and authorized purposes related to the intended use of the platform.

Permitted uses may include:

  1. Creating and managing a real estate professional account;
  2. Using compensation disclosure workflow tools;
  3. Entering, organizing, and sharing information related to real estate professional workflows;
  4. Creating, saving, viewing, and managing disclosure-related information;
  5. Searching for service professionals or vendors related to real estate needs;
  6. Recommending, saving, or referencing service providers;
  7. Managing business-related information within your authorized account;
  8. Using platform features for legitimate real estate professional, brokerage, administrative, compliance, communication, or business purposes;
  9. Uploading accurate and lawful content that you have the right to use;
  10. Communicating with other authorized users if the platform provides communication features.

12. Prohibited Uses

You may not use VeriDealPro for any unlawful, harmful, deceptive, abusive, or unauthorized purpose.

You agree not to:

  1. Violate any law, rule, regulation, court order, licensing requirement, MLS rule, association rule, brokerage policy, professional standard, or contractual obligation;
  2. Use the platform to provide legal, financial, tax, lending, insurance, appraisal, inspection, contracting, brokerage, or professional advice unless you are properly licensed and legally authorized to do so;
  3. Misrepresent your identity, qualifications, license status, brokerage affiliation, authority, business relationship, or connection to any person or entity;
  4. Impersonate another person, broker, agent, service provider, company, client, customer, or organization;
  5. Submit false, misleading, deceptive, inaccurate, incomplete, or fraudulent information;
  6. Upload or share content that you do not own or do not have permission to use;
  7. Use the platform to harass, threaten, intimidate, defame, abuse, stalk, exploit, shame, or harm another person or business;
  8. Use the platform to discriminate against any person or group based on protected characteristics;
  9. Use the platform to engage in fraud, deceptive advertising, bait-and-switch practices, fake recommendations, fake listings, fake profiles, or misleading endorsements;
  10. Use the platform to post spam, scams, phishing attempts, malware, malicious links, pyramid schemes, illegal solicitations, or unauthorized advertisements;
  11. Use bots, scrapers, crawlers, automated tools, or unauthorized data extraction methods;
  12. Attempt to reverse engineer, copy, clone, modify, decompile, disassemble, or interfere with the platform;
  13. Attempt to gain unauthorized access to accounts, systems, databases, APIs, servers, payment systems, or other users’ data;
  14. Upload viruses, malware, ransomware, spyware, harmful code, or files designed to damage or disrupt systems;
  15. Circumvent payment requirements, subscription limits, access controls, security controls, usage limits, or technical restrictions;
  16. Sell, resell, sublicense, rent, lease, transfer, or commercially exploit platform access unless expressly authorized by VeriDealPro;
  17. Use the platform in a way that overloads, disrupts, damages, or impairs VeriDealPro or third-party systems;
  18. Use the platform to collect, harvest, sell, or misuse personal information;
  19. Use the platform for any purpose that creates legal, regulatory, reputational, operational, or security risk for VeriDealPro.

13. Prohibited Content

You may not post, upload, publish, submit, transmit, display, store, share, or make available any content that:

  1. Is false, misleading, deceptive, fraudulent, or inaccurate;
  2. Is unlawful or promotes unlawful activity;
  3. Is defamatory, libelous, slanderous, abusive, threatening, harassing, hateful, or obscene;
  4. Contains discriminatory content or promotes discrimination;
  5. Contains sexually explicit, pornographic, exploitative, or abusive material;
  6. Exploits or endangers minors;
  7. Contains personal information of another person without proper authorization;
  8. Violates privacy rights, publicity rights, intellectual property rights, trade secrets, confidentiality obligations, or contractual rights;
  9. Contains confidential brokerage, client, customer, transaction, financial, legal, or personal information that you are not authorized to disclose;
  10. Contains malware, viruses, spyware, harmful code, tracking tools, or malicious links;
  11. Promotes violence, self-harm, illegal drugs, human trafficking, weapons trafficking, or criminal activity;
  12. Promotes scams, fraud, phishing, identity theft, or deceptive business practices;
  13. Contains fake reviews, fake recommendations, paid recommendations that are not properly disclosed, manipulated endorsements, or misleading vendor/service provider information;
  14. Misstates service provider qualifications, licensing, insurance, bonding, availability, pricing, quality, performance, or relationship to you;
  15. Includes negative reviews, public complaints, accusations, disputes, or grievance-style content if the platform feature is intended only for positive recommendations or neutral directory information;
  16. Violates any real estate law, fair housing law, advertising rule, licensing rule, MLS rule, brokerage policy, professional standard, or association requirement;
  17. Is otherwise objectionable or inconsistent with the intended purpose of the platform, as determined by VeriDealPro in its sole discretion.

14. Service Provider Directory and Recommendations

VeriDealPro may include a directory of service providers, vendors, contractors, professionals, businesses, or other third parties that may be relevant to real estate professionals, clients, homeowners, buyers, sellers, landlords, tenants, or related users.

Directory listings, service provider profiles, recommendations, favorites, saved providers, comments, notes, business information, and related materials may be created, submitted, updated, or influenced by users, service providers, third parties, or publicly available information.

VeriDealPro does not guarantee that any service provider is licensed, insured, bonded, available, qualified, competent, reliable, safe, compliant, affordable, or suitable for any particular purpose.

VeriDealPro does not endorse any service provider unless we expressly state otherwise in writing. A listing in the directory does not mean VeriDealPro recommends, verifies, guarantees, or approves that provider.

You are solely responsible for performing your own due diligence before recommending, hiring, contacting, or relying on any service provider. This may include confirming licensing, insurance, bonding, reviews, references, background, pricing, availability, permits, and compliance with applicable law.

VeriDealPro is not responsible for any work, advice, service, product, quote, estimate, representation, communication, contract, payment, damage, injury, loss, dispute, delay, defect, failure, negligence, misconduct, or other issue involving a service provider or third party.

15. Compensation Disclosure Tools

VeriDealPro may provide tools designed to help users create, organize, manage, document, communicate, or share compensation-related information or disclosures.

You understand and agree that VeriDealPro does not provide legal advice, real estate advice, brokerage advice, compliance advice, tax advice, financial advice, or professional advice.

You are solely responsible for determining what disclosures are required, when disclosures are required, who must receive them, how they must be delivered, whether they are complete and accurate, and whether your use of the platform complies with applicable law, professional rules, MLS rules, association rules, brokerage policies, written agreements, and licensing requirements.

VeriDealPro does not guarantee that any form, template, workflow, field, message, record, document, disclosure, or platform feature satisfies any legal, regulatory, professional, contractual, brokerage, MLS, association, or compliance requirement.

You should consult your broker, legal counsel, compliance officer, association, MLS, licensing authority, or other qualified professional regarding your specific obligations.

15A. Commission Information, Acknowledgments, and Compensation Disputes

VeriDealPro may permit users to publish, display, communicate, review, acknowledge, track, or otherwise interact with information relating to buyer-agent compensation, cooperative compensation, broker compensation, referral fees, transaction incentives, bonuses, concessions, or other compensation-related information.

All compensation-related information displayed through the Platform is created, submitted, modified, maintained, and controlled exclusively by users and third parties.

VeriDealPro does not:

  1. Create compensation offers;
  2. Determine compensation amounts;
  3. Negotiate compensation;
  4. Approve compensation terms;
  5. Verify compensation information;
  6. Guarantee compensation will be paid;
  7. Guarantee compensation information is current, accurate, complete, enforceable, legal, or authorized;
  8. Act as an escrow agent, broker, intermediary, fiduciary, representative, or participant in any compensation arrangement.

Any acknowledgment, acceptance, review, confirmation, click-through action, electronic response, or communication made through the Platform is solely between the participating users and does not create any obligation, warranty, representation, guarantee, or liability on the part of VeriDealPro.

Users are solely responsible for independently verifying all compensation information with the listing broker, brokerage, seller, buyer, MLS, transaction documents, compensation agreements, brokerage policies, and any other applicable parties.

VeriDealPro shall not be liable for any dispute regarding commissions, compensation, fees, referral payments, bonuses, concessions, transaction proceeds, brokerage agreements, compensation disclosures, commission reductions, commission modifications, commission non-payment, commission disputes, procuring-cause disputes, arbitration proceedings, litigation, regulatory actions, licensing actions, MLS disputes, ethics complaints, or any other dispute arising from or relating to compensation information displayed on the Platform.

Any reliance upon compensation information displayed through the Platform is solely at the user's own risk.

16. No Professional Advice

All content and tools provided by VeriDealPro are for general business software and workflow purposes only.

VeriDealPro does not provide legal, tax, financial, accounting, insurance, lending, inspection, construction, appraisal, brokerage, licensing, regulatory, or professional advice.

Any information provided through the platform is not a substitute for advice from qualified professionals.

You are responsible for consulting appropriate professionals before making decisions based on information created, stored, displayed, or shared through the platform.

17. User Data and Ownership

As between you and VeriDealPro, you retain ownership of the content you submit to the Platform.

By submitting, entering, uploading, posting, storing, transmitting, or otherwise providing data through the Platform, you grant VeriDealPro a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable, fully paid-up license to use, copy, store, process, analyze, modify, reproduce, display, distribute, archive, create derivative works from, and otherwise utilize such information for operating, maintaining, improving, securing, marketing, developing, supporting, enforcing, auditing, protecting, and expanding the Platform and related business operations.

You acknowledge and agree that VeriDealPro may retain User Content, transaction records, compensation records, metadata, account information, activity logs, analytics, communications, and related information indefinitely, including after account closure, cancellation, suspension, or termination, to the maximum extent permitted by law.

You waive any claim requiring VeriDealPro to delete, destroy, remove, or return data except where required by applicable law.

18. Privacy

Your use of VeriDealPro is also governed by our Privacy Policy.

You agree not to upload, enter, disclose, or share sensitive personal information, confidential client information, financial information, health information, government identification numbers, payment card information, passwords, or other highly sensitive information unless the platform specifically requests it and you are legally authorized to provide it.

You are responsible for obtaining any required consents before entering personal information about clients, customers, service providers, agents, brokers, employees, contractors, or other individuals.

19. Third-Party Services

VeriDealPro may integrate with or link to third-party services, platforms, app stores, payment processors, authentication providers, hosting providers, analytics providers, maps, email services, messaging services, or other tools.

We are not responsible for third-party services, third-party content, third-party websites, third-party availability, third-party security, third-party fees, third-party policies, or third-party conduct.

Your use of third-party services may be governed by separate terms and policies from those third parties.

20. Payment Processing

Payments may be processed by third-party payment processors, app stores, or marketplace providers. We do not store complete payment card information unless expressly stated.

You agree to comply with the terms of any applicable payment processor or app store used to purchase or manage your subscription.

If a payment is disputed, charged back, reversed, declined, or suspected of fraud, we may suspend or terminate your account.

21. Intellectual Property

VeriDealPro, including the platform, software, design, branding, trademarks, service marks, logos, workflows, databases, features, user interface, code, structure, documentation, templates, and other materials, is owned by VeriDealPro LLC or its licensors and is protected by intellectual property laws.

Except for the limited right to use the platform according to these Terms, you are not granted any ownership rights in VeriDealPro.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, reverse engineer, sell, lease, sublicense, or exploit any part of VeriDealPro without our prior written permission.

22. Feedback

If you provide suggestions, ideas, feedback, feature requests, improvements, comments, or recommendations about VeriDealPro, you grant us the right to use them without restriction, compensation, attribution, or obligation to you.

23. Suspension and Termination

We may suspend, restrict, or terminate your access to VeriDealPro at any time if we believe that you:

  1. Violated these Terms;
  2. Failed to pay required fees;
  3. Misused the platform;
  4. Posted prohibited content;
  5. Created legal, regulatory, operational, security, or reputational risk;
  6. Infringed the rights of another person or entity;
  7. Interfered with platform operations;
  8. Used the platform for fraud, abuse, spam, harassment, scraping, or unauthorized access;
  9. Acted in a way that may harm VeriDealPro, users, service providers, clients, or third parties.

We may remove or disable User Content at any time if we believe it violates these Terms or creates risk.

Termination or suspension does not entitle you to a refund.

24. Data After Termination

After cancellation, suspension, or termination, your access to some or all platform data may end.

We may retain, delete, anonymize, or archive data according to our Privacy Policy, legal obligations, backup practices, dispute-resolution needs, security requirements, and business records policies.

You are responsible for exporting or saving any information you need before your subscription ends, where export functionality is available.

Termination of a subscription, account closure, cancellation, suspension, expiration, or non-renewal does not create any obligation for VeriDealPro to delete User Content, transaction records, compensation records, communications, metadata, analytics data, activity logs, backups, archives, historical records, or other information maintained by the Platform.

25. Disclaimers

VeriDealPro is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted operation.

We do not warrant that:

  1. The platform will meet your needs;
  2. The platform will be uninterrupted, secure, timely, or error-free;
  3. The platform will comply with every law, regulation, MLS rule, brokerage policy, professional rule, or disclosure requirement applicable to you;
  4. Any content, data, disclosure, directory listing, recommendation, service provider information, or user-generated content will be accurate, complete, legal, safe, or reliable;
  5. Any defects or errors will be corrected;
  6. The platform will remain available on any specific device, operating system, app store, browser, or third-party service.

25A. Release of Claims

To the maximum extent permitted by law, you knowingly, voluntarily, and irrevocably release VeriDealPro LLC and its owners, members, managers, officers, employees, contractors, developers, software developers, licensors, affiliates, successors, assigns, agents, representatives, and service providers from any and all claims, demands, causes of action, liabilities, damages, losses, costs, expenses, penalties, judgments, settlements, or attorney's fees arising out of or relating to:

  • User-generated content;
  • Compensation information;
  • Commission information;
  • Real estate transactions;
  • MLS information;
  • Brokerage information;
  • Recommendations;
  • Service provider listings;
  • Compensation disputes;
  • Errors or omissions;
  • User reliance upon information displayed on the Platform;
  • Account suspension or termination;
  • Data loss;
  • Technical failures;
  • Platform downtime;
  • Regulatory investigations;
  • Ethics complaints;
  • Arbitration proceedings;
  • Licensing actions;
  • Third-party conduct.

This release shall survive termination of these Terms indefinitely.

26. Limitation of Liability

To the maximum extent permitted by law, VeriDealPro LLC and its owners, officers, managers, members, employees, contractors, software developers, application developers, consultants, affiliates, licensors, successors, assigns, service providers, agents, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, lost data, loss of goodwill, business interruption, professional discipline, lost commissions, failed transactions, regulatory penalties, legal claims, third-party claims, service provider disputes, or damages arising from User Content.

To the maximum extent permitted by law, our total liability for any claim arising out of or related to VeriDealPro, these Terms, your subscription, your use of the platform, User Content, third-party services, or service provider listings will not exceed the amount you paid to VeriDealPro for the platform during the twelve (12) months immediately before the event giving rise to the claim, or One Hundred Dollars ($100), whichever is less.

Under no circumstances shall VeriDealPro be liable for any commission, referral fee, brokerage fee, transaction fee, compensation amount, lost compensation opportunity, or disputed compensation amount regardless of theory of liability.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

27. Indemnification

You agree to defend, indemnify, and hold harmless VeriDealPro LLC and its owners, officers, managers, members, employees, contractors, software developers, application developers, consultants, affiliates, licensors, successors, assigns, service providers, agents, and representatives from and against any claims, damages, losses, liabilities, demands, judgments, settlements, costs, expenses, and attorney’s fees arising out of or related to:

  1. Your use or misuse of VeriDealPro;
  2. Your User Content;
  3. Your violation of these Terms;
  4. Your violation of any law, rule, regulation, professional obligation, MLS rule, association rule, brokerage policy, or contractual obligation;
  5. Your violation of another person’s rights;
  6. Your recommendations, referrals, listings, statements, disclosures, or communications;
  7. Your relationship or dispute with any client, customer, broker, agent, service provider, vendor, contractor, business, or third party;
  8. Your failure to obtain required permissions, consents, licenses, authorizations, or approvals;
  9. Your professional services, business activities, real estate activities, or transactions.

28. Reporting Content or Violations

If you believe content on VeriDealPro violates these Terms, infringes your rights, is unlawful, or should be reviewed, you may contact us at:

We may review reports and take action in our discretion, including removing content, restricting access, suspending accounts, terminating accounts, or taking no action.

29. Copyright Complaints

If you believe content on VeriDealPro infringes your copyright, please send a notice to:

You may not use VeriDealPro to post, share, transmit, or facilitate discriminatory content or conduct.

You are responsible for complying with all applicable fair housing laws, anti-discrimination laws, advertising rules, professional standards, and brokerage policies.

VeriDealPro reserves the right to remove content or suspend accounts that we believe may violate fair housing, anti-discrimination, or related legal requirements.

31. Advertising, Sponsored Listings, and Paid Placement

VeriDealPro may offer sponsored listings, paid placements, enhanced profiles, promoted service providers, advertising, verification badges, premium visibility, analytics, or other paid features.

Sponsored or paid placements do not constitute an endorsement, guarantee, verification, or recommendation by VeriDealPro unless expressly stated in writing.

Users and service providers are responsible for ensuring that any advertisements, sponsored listings, endorsements, testimonials, recommendations, or promotional claims comply with applicable laws and disclosure requirements.

32. App Stores and Mobile Platforms

If you access VeriDealPro through a mobile application downloaded from an app store, your use may also be subject to the terms, rules, and policies of that app store.

In the event of a conflict between these Terms and applicable app store rules, the app store rules may control solely to the extent required by that app store.

The app store provider is not responsible for VeriDealPro, User Content, support, claims, maintenance, or disputes related to the platform, except as required by applicable law or the app store’s own terms.

33. Communications

By creating an account or using VeriDealPro, you agree that we may send you service-related communications, account notices, security alerts, billing notices, subscription notices, product updates, legal notices, and support messages.

You may also choose to receive marketing communications. You may unsubscribe from marketing communications where required or permitted by law. Service-related communications may still be sent even if you opt out of marketing messages.

34. Electronic Agreement

By clicking “I Agree,” creating an account, purchasing a subscription, accessing the platform, using the app, uploading content, or otherwise using VeriDealPro, you agree that you are entering into an electronic agreement and that your electronic acceptance has the same legal effect as a physical signature.

You agree that your use of VeriDealPro constitutes acceptance of these Terms, even if you do not physically sign a paper document.

35. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last Updated” date.

Changes may be posted within the platform, website, app, or sent by email or other notice method.

Your continued use of VeriDealPro after changes become effective means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the platform and cancel your subscription.

36. Governing Law, Jurisdiction, and Venue

These Terms and Conditions, your use of VeriDealPro, your subscription, your account, any User Content, and any dispute, claim, controversy, or legal action arising out of or related to VeriDealPro shall be governed by and interpreted according to the laws of the State of Florida, without regard to conflict-of-law rules or principles.

To the maximum extent permitted by law, you agree that any lawsuit, legal proceeding, claim, dispute, or controversy arising out of or related to these Terms, VeriDealPro, your account, your subscription, your use of the platform, User Content, payments, cancellations, service provider listings, recommendations, disclosures, or any related matter must be brought exclusively in the state or federal courts located in the State of Florida.

You consent to the personal jurisdiction of the courts located in Florida and waive any objection to jurisdiction, venue, or inconvenience of forum in those courts.

You agree that Florida is a fair, proper, and convenient forum for resolving any dispute with VeriDealPro, regardless of where you live, where you access the platform, where your business is located, or where any User Content was created, posted, viewed, or used.

Nothing in this section prevents VeriDealPro from seeking injunctive relief, emergency relief, temporary restraining orders, or enforcement of its intellectual property rights in any court of competent jurisdiction if necessary to protect the platform, its users, its intellectual property, its systems, its data, or its business interests.

37. Informal Dispute Resolution

Before filing a lawsuit or legal proceeding, you agree to first contact VeriDealPro and attempt to resolve the dispute informally.

You agree to provide a written description of the dispute, the facts supporting your claim, the relief you are seeking, and your contact information.

VeriDealPro will have a reasonable opportunity to investigate and attempt to resolve the dispute informally before either party initiates formal legal action, unless emergency relief is required.

38. Class Action Waiver

To the maximum extent permitted by law, you and VeriDealPro agree that disputes will be handled only on an individual basis.

You may not bring a claim as a plaintiff or class member in a class action, collective action, consolidated action, representative action, private attorney general action, or similar proceeding.

You and VeriDealPro waive any right to participate in a class action, collective action, or representative proceeding related to these Terms, the platform, your subscription, your account, User Content, payments, cancellations, service provider listings, recommendations, disclosures, or any related matter.

39. Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

We may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, sale of assets, reorganization, change of control, or business transfer.

40. Severability

If any part of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

If any provision is found to be overly broad, the provision shall be interpreted or modified to the minimum extent necessary to make it enforceable while preserving its original intent as much as possible.

Our failure to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.
